Terms of Service — Heywrite

These terms were drafted without legal counsel. We strongly recommend having a qualified attorney review them before relying on them.

These Terms of Service ("Terms") are a binding agreement between you ("Customer," "you," or "your") and Moosetank LLC, doing business as Heywrite ("Heywrite," "we," "us," or "our"). These Terms govern your access to and use of our services at www.heywritethis.com (the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

"Account" means the account you create to access the Service.

"Content" means any articles, blog posts, guest posts, or other written output generated by the Service on your behalf.

"Credits" means the units used to generate Content through the Service. One credit equals one article.

"Input" means any information you provide to the Service, including but not limited to URLs, brand information, topic selections, and revision instructions.

"Service" means the website, application, and all related tools and features provided by Heywrite at www.heywritethis.com.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Account registration

To use the Service, you must create an Account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account.

You must notify us immediately at hello@heywritethis.com if you become aware of any unauthorized use of your Account.

We reserve the right to suspend or terminate your Account at any time if we reasonably believe you have violated these Terms.

4. The service

Heywrite provides an AI-powered tool that generates blog articles and guest posts based on your Input. The Service includes brand analysis from a URL, topic generation, article drafting, and revisions.

We reserve the right to modify, update, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes.

5. Credits and payment

5a. Pricing

The Service offers both pay-as-you-go pricing and monthly subscription plans. Current pricing is available at www.heywritethis.com/pricing.

Each article requires one credit. Credits on subscription plans that are not used within the billing period roll over to the following month.

5b. Payment processing

All payments are processed through Stripe. By purchasing credits or a subscription, you agree to Stripe's terms of service. We do not store your payment card details.

5c. Free trial

New subscription plans include a 7-day free trial with 2 credits. You will not be charged until day 8. If you cancel before the trial ends, you will not be charged.

5d. Automatic renewal

Subscription plans renew automatically on a monthly basis at the then-current rate unless you cancel before the next billing date. Cancellation takes effect at the end of the current billing period.

5e. No refunds

All purchases are final. We do not offer refunds for unused credits, partial subscription periods, or any other reason. If you cancel a subscription, you will retain access to the Service and any remaining credits through the end of your current billing period.

6. Content ownership and intellectual property

6a. Your Input

You retain all rights to the Input you provide to the Service. By submitting Input, you grant us a limited, non-exclusive license to use that Input solely for the purpose of providing the Service to you.

6b. Generated Content

You own the Content generated by the Service on your behalf. Upon generation, all rights to the Content transfer to you. You are free to publish, modify, distribute, or otherwise use the Content as you see fit.

6c. No training on your data

We do not use your Input or generated Content to train, fine-tune, or improve any AI models. Your data is used solely to provide the Service to you.

6d. Our intellectual property

The Service itself, including its design, features, software, branding, and documentation, is and remains the property of Moosetank LLC. Nothing in these Terms grants you any rights to our intellectual property beyond the limited right to use the Service as described herein.

6e. Feedback

If you provide us with suggestions, ideas, or feedback about the Service, you grant us an unrestricted, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation to you.

7. Acceptable use

You agree not to:

(a) Use the Service to generate content that is unlawful, defamatory, obscene, threatening, or that infringes on any third party's rights.

(b) Attempt to reverse-engineer, decompile, or disassemble any part of the Service.

(d) Resell, sublicense, or redistribute the Service itself (you may freely use and sell the Content you generate).

(e) Interfere with or disrupt the Service or its infrastructure.

(f) Use the Service in any manner that could damage, disable, or impair the Service.

8. Revisions

Each article includes 2 free revision rounds. Revisions must be requested by providing clear instructions on what needs to change. We will make reasonable efforts to accommodate your revision requests. Additional revisions beyond the included 2 rounds are not guaranteed.

9. Third-party services

The Service uses third-party AI providers to generate Content. These providers do not retain your Input or generated Content beyond what is necessary to process your request.

The Service also relies on third-party services for hosting, analytics, and payment processing. Your use of the Service is subject to the terms and policies of these third-party providers to the extent applicable.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

(a) The Service will be uninterrupted, secure, or error-free.

(b) The Content generated will be accurate, complete, or free of errors.

(d) Any defects in the Service will be corrected.

YOU ARE RESPONSIBLE FOR REVIEWING ALL CONTENT BEFORE PUBLISHING. We recommend fact-checking generated Content before publication.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOOSETANK LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $50.00, WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless Moosetank LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to:

(a) Your use of the Service.

(b) The Content you publish after generating it through the Service.

(d) Your violation of any third party's rights.

13. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of laws principles.

Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Denver, Colorado. You consent to the personal jurisdiction of these courts.

14. Account deletion

You may request deletion of your Account by emailing hello@heywritethis.com. Upon receiving your request, we will delete your Account and associated data within 30 days, except where we are required by law to retain certain information.

Account deletion is permanent. Any unused credits will be forfeited upon deletion.

15. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically.

16. Miscellaneous

16a. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Moosetank LLC regarding the Service.

16b. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16c. Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

16d. Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
